Registration when the cooperative is separated

a) Implementation order:

- Step 1: The Board of Directors of the cooperative alliance intended to be separated shall prepare the plan of separation to submit to the Board of members for making decision.

- Step 2: After the Board of members makes the decision on separation, the Board of Directors shall send a written notice to creditors, institutions and individuals that have economic relations with the cooperative alliance of the decision and resolve relevant issues before implementing the procedures for establishing a new cooperative alliance.

- Step 3: The cooperative alliance to be separated shall implement the plan of separation which was decided and submit registration documents at the Business Registration Office under the Department of Planning and Investment, where the cooperative alliance registered its head office.

- Step 4: Upon receiving the documents, the cooperative alliance registration agency:

+ Request the applicant to submit a valid copy of valid identity card or passport;

+ In case of being authorized, it is required to prepare the following papers: The service supply contract between the person establishing the cooperative alliance, the cooperative alliance and the organization providing services of submitting documents and receiving results; the recommendation letter of that organization for the individual to submit documents and receive results; or the authorization letter for the individual to submit documents and receive results in accordance with law.

If documents are valid, the cooperative alliance registration agency shall issue a receipt to the cooperative alliance.

i) Fees: 200,000 VND (Payment by the time of submission).

In accordance with the provisions of Clause 6, Article 2 and subparagraph b, Clause 2, Article 3 in Circular No. 02/2014/TT-BTC dated 02/01/2014 of the Ministry of Finance guiding charges and fees to be decided by people's Councils of provinces and Centrally-run cities.

- Business and production plan in accordance with the form as prescribed in Appendix I-2, Circular No. 03/2014/TT-BKHDT;

- List of member cooperatives in accordance with the form as prescribed in Appendix I-3, Circular No. 03/2014/TT-BKHDT;

- List of Board of Directors, General Director and Supervisory Board in accordance with the form as prescribed in Appendix I-4, Circular No. 03/2014/TT-BKHDT;

l) Requirements and conditions for procedure implementation (if any):

- Business lines not prohibited by law;

- In case of conditional business lines, it is required to comply with specialized law;

- Law on Cooperatives dated 20/11/2012;

- Decree No. 193/2013/ND-CP dated 21/11/2013 on detailed regulations for a number of articles of the Law on Cooperatives;

- Circular No. 03/2014/TT-BKH dated 26/05/2014 guiding the cooperative registration and reporting system on operations of the cooperative;

- Decision No. 31/2008/QD-UBND dated 28/12/2008 of Hung Yen province People's Committee;
