Mergers and Acquisitions of single-member limited liability company under the decision of provincial People's Committees, or PPCs are assigned to manage

* The order of execution

- The single-member limited liability company coordinates and unifies to make application of mergers and acquisitions for consideration and decision of agencies or individuals

- Within 30 working days from the date of receipt of application for mergers and acquisitions, competent agencies or individuals evaluate and approve the application and decide mergers and acquisitions.

- After the decision of mergers and acquisitions, the single-member limited liability company has the responsibility to implement the project on acquisition or merger. For the case of acquisition and merger, single-member limited liability company decided by other agencies or individuals, after the approval of acquisition and merger, legal representatives of single-member limited company together sign the contract of acquisition or merger.

The merging company and single-member limited liability company established by merger perform business registration procedures prescribed by law.

* How to perform:

- Through the postal system;

- Directly at the offices of the State administrative agencies.

* Application components:

- Statement for acquisition or merger of single-member limited liability company;

- Project for acquisition, merger of single-member limited liability company;

- Audited financial statements of the preceding year of the company and the most recent quarterly financial statements to the acquisition or merger;

- The draft charter of single-member limited liability company;

- Contract of merger or acquisition under the Law on Enterprises.

- Other documents related to the consolidation, merger.

* Number of record:  01 original set.

* Settlement deadline:

Within 30 working days from the date of receipt of application for acquisition or merger.

* Executing agencies:

Authorized agencies or individuals under Article 18 of Decree No. 172/2013/ND-CP

* Subjects of administrative procedures:

The single-member limited liability company implements acquisition and merger.

* Results of administrative procedures:

Decisions on acquisition and merger of competent authorities or individuals.

* Fee: N/A

* Name of application form and declaration form:

Implemented under the provisions of Decree No. 172/2013/ND-CP, the main contents of the project must be covered include:

- Names and addresses of single-member of limited liability companies before and after the merger;

- The need for acquisition, merger of single-member limited liability companies; conformity with the development of the industry and the economic-social development plan in the province and across the country;

- The charter capital of single-member limited liability company after acquisition, merger;

- Plan of arrangement and the employment;

- Plan for financial settlement, conversion, capital and asset handover and the settlement of the rights and obligations for single-member limited liability companies involved in the acquisition or merger;

- Duration of acquisition, merger.

* Requirements, conditions of procedures:

- The acquisition and merger of single-member limited liability companies must be consistent with the Overall Project of Arrangement, reform, restructuring of state-owned enterprises approved by Prime Minister; in case merger or acquisition of single-member limited liability companies have not been defined in the Overall Project, the agency deciding to establish single-member limited liability companies must submit to the Prime Minister for consideration and decision.

- The merger and acquisition does not reduce the charter capital of single-member limited liability company.

* The legal basis of the administrative procedure:

Decree No. 172/2013/ND-CP dated in November 13, 2013 of the State on the establishment, reorganization and dissolution of a State-owned single-member limited liability company and subsidiaries of a State single-member limited liability company.
