Announcement of contents of enterprise registration (for private enterprises, limited liability companies, joint stock companies, partnerships)

a) Implementation order:                                                                                                                                                                                                                                                                                  

            ·        When company receives the enterprise registration certificate, certificate of changing enterprise registration contents related lines of business related to business lines, founding shareholders, shareholders who are foreign investors, the company submits fees to announce the enterprise registration contents and sends Written request for announcement of contents of enterprise registration to the business registration office where the enterprise has registered for a public announcement on the National Information Portal of enterprise registration within 30 days after the announcement.

·        The business registration office uploads enterprise registration contents of the company under their management on the National Information Portal of enterprise registration.

b) Implementation method: The company or authorized representative submits the Notice of changing content of enterprise registration directly at the business registration office where the company has registered or legal representative submits the Notice of changing content of enterprise registration via internet under procedure defined in National Information Portal of enterprise registration.

c) Documents:

·          Request for announcement of content of enterprise registration (Annex II-25, Circular No. 20/2015/TT-BKHDT);

d) Number of documents: 01 set.

đ) Time limit for settlement: After the business registration office received fees of announcement of contents of enterprise registration and the written request for announcement of contents of enterprise registration of the company, the business registration office uploads contents of the enterprise registration on the National Information Portal of company registration.

e) Implementing agency: The Business Registration Office – The Department of Planning and Investment.

g) Subjects of administrative procedures: Individuals and organizations.

h) Results of administrative procedures:

The contents of the enterprise registration/ certificate of changing enterprise registration contents related lines of business related to business lines, founding shareholders, shareholders who are foreign investors are uploaded on the National Information Portal of company registration.

i) Fees: VND 300,000 (Circular No. 106/2013/TT-BTC) (Payment at time of registration).

k) Name of form, declaration:

·          Written request for announcement of contents of enterprise registration (Annex II-25, Circular No. 20/2015/TT- BKHDT);

l) Requirements and conditions for procedure implementation: defined in Article 33 of the Law on Enterprises and Article 55 of Decree No. 78/2015/ ND-CP.

·      Circular No. 20/2015/TT-BKHDT dated 01/12/2015 of the Ministry of Planning and Investment guiding the enterprise registration (Circular No. 20/2015/TT-BKHDT);

·      Circular No.106/2013/TT-BTC dated 09/8/2015 of the Ministry of Finance amending and supplementing Circular No. 176/2012/TT-BTC dated 23/10/2012 of the Ministry of Finance

·      prescribing regime of collection, level of collection, payment, management and use of fees, business registration and providing information of company  (Circular No.106/2013/TT-BTC);
